Entrepreneur's Network compliance standards covering referrals, payments, and member conduct.
This Compliance Policy establishes the standards, obligations, and procedures governing member conduct on the Entrepreneur's Network platform, a division of Vortex AI, Inc.. All members, chapter leaders, vendors, and sponsors are required to comply with this Policy as a condition of Platform access.
The Platform operates as a professional networking and referral facilitation service and is a division of Vortex AI, Inc.. We are not a registered broker-dealer, investment advisor, insurance company, law firm, or healthcare provider. Members are solely responsible for ensuring that their use of the Platform — including participation in the referral fee system — complies with all professional licensing requirements, regulatory obligations, and ethical rules applicable to their profession and jurisdiction.
The Platform provides AI-generated content including outreach emails, Deal Room responses, forum summaries, and matching explanations. When using AI-generated content in external communications you must:
• Not represent AI-generated outreach emails as entirely your own original writing when communicating with prospects who have not consented to AI-generated correspondence in jurisdictions where such disclosure is required
• Not use AI Deal Room responses as a substitute for qualified professional advice — specifically legal, financial, medical, accounting, or investment advice — and not represent such responses as having come from a licensed professional
• Not use forum summary content that identifies or quotes other members without those members' consent
You agree not to:
• Attempt to manipulate, deceive, or circumvent the Platform's AI verification system by providing false or misleading profile information
• Use AI Deal Room outputs to compile unauthorized databases of member information
• Use AI-generated outreach emails in bulk campaigns that violate CAN-SPAM, CASL, GDPR, or other applicable anti-spam laws
• Attempt to reverse-engineer, probe, or extract the underlying logic of any AI system used on the Platform
• Submit deliberately false or misleading information to AI systems to manipulate scores or outcomes
AI-generated content on the Platform — including verification decisions, matching recommendations, and Deal Room responses — is not reviewed by licensed attorneys, CPAs, financial advisors, or other licensed professionals before delivery. Do not rely on AI-generated Platform content for compliance decisions, tax positions, legal strategies, investment decisions, or healthcare choices without independent verification from a qualified professional.
The following professions are subject to legal or regulatory restrictions on paying or receiving referral fees. Members in these categories must obtain independent legal advice before participating in any referral fee arrangement on the Platform:
Licensed Attorneys. State bar rules in all U.S. jurisdictions prohibit attorneys from paying referral fees to non-attorneys. Attorneys may use the Platform's referral tracking tools but must not set or agree to referral fee payments to non-attorney members. Violation may constitute an ethics violation subject to bar discipline.
Certified Public Accountants. AICPA Code of Professional Conduct Rule 503 restricts CPAs performing attest services from paying or receiving commissions. CPAs must independently verify permissibility before agreeing to any referral fee arrangement.
Licensed Real Estate Professionals. RESPA (12 U.S.C. § 2607) prohibits referral fees in connection with federally related mortgage transactions. State real estate licensing laws generally prohibit payment of referral fees to unlicensed individuals. Real estate licensees must comply with all applicable RESPA and state licensing requirements.
Mortgage Brokers and Lenders. RESPA Section 8 prohibits giving or accepting anything of value for referring mortgage loan business. Mortgage professionals must not participate in referral fee arrangements for mortgage-related referrals.
Insurance Producers. State insurance codes generally prohibit licensed producers from paying referral fees to unlicensed individuals. Rules vary significantly by state. Insurance professionals must verify permissibility under their state's insurance code before agreeing to any referral fee.
Registered Investment Advisors and Broker-Dealers. SEC and FINRA rules govern solicitor and referral arrangements. RIAs must comply with SEC Advisers Act Rule 206(4)-3 and any successor rule. FINRA registered representatives may not share commissions with unregistered persons.
Healthcare Providers. The Federal Anti-Kickback Statute (42 U.S.C. § 1320a-7b) and Stark Law (42 U.S.C. § 1395nn) prohibit referral fee arrangements involving services reimbursable by federal healthcare programs. This applies to physicians, dentists, chiropractors, pharmacists, medical billing companies, healthcare staffing firms, and all other licensed healthcare providers.
By activating referral fee functionality on your account you represent and warrant that:
• You have independently reviewed the applicable professional licensing rules, statutes, and regulations governing referral fee arrangements for your profession in your jurisdiction
• Your participation in referral fee arrangements on the Platform is lawful and does not violate any professional ethical obligation
• You will immediately disable referral fee functionality if your professional status or jurisdiction changes such that participation becomes impermissible
The Platform does not provide legal advice and does not independently verify whether individual referral fee arrangements comply with applicable professional rules. The compliance obligation rests entirely with the member.
All members who activate ACH payout functionality must complete our payment processor's identity verification process, which includes:
• Government-issued photo identification
• Social Security Number or Tax Identification Number
• Business verification documents for business accounts
We reserve the right to request additional verification documentation at any time. Accounts that fail to complete verification will have ACH payout functionality suspended.
We monitor Platform transactions for patterns consistent with money laundering, structuring, or other financial crimes. Suspicious activity may be reported to FinCEN or other applicable authorities as required by law.
All ACH transactions processed through the Platform are subject to applicable banking network rules and regulations governing electronic fund transfers. By initiating ACH payments you represent that:
• All payment information is accurate and authorized
• You have the authority to authorize debits and credits to the designated bank account
• You will not initiate ACH transactions for illegal purposes
Referral fee payouts are processed through our third-party payment processing provider. Members receiving payouts must comply with that provider's connected account terms and all applicable policies. The Platform deducts a 10% processing fee from all referral fee payouts before disbursement.
Referral fees received through the Platform may constitute taxable income. The Platform will issue IRS Form 1099-NEC to members who receive $600 or more in referral fees in a calendar year, as required by applicable tax law. Members are solely responsible for reporting all income, including referral fees, to applicable tax authorities.
When you enter contact information for referred individuals into the Platform you represent that:
• You have a legitimate business relationship with the referred contact
• You have obtained any required consent under applicable law to share their contact information
• The contact information will be used solely for the purpose of facilitating the business referral
Your use of LinkedIn OAuth to authenticate with the Platform is subject to LinkedIn's User Agreement and Privacy Policy. You represent that your LinkedIn profile information is accurate and that you are authorized to share it with the Platform for verification purposes.
The Platform maintains compliance with the California Consumer Privacy Act (CCPA) as described in our Privacy Policy. Members who are subject to CCPA as businesses in their own right are responsible for their own CCPA compliance obligations independent of their use of the Platform.
The Federal Trade Commission (FTC) requires disclosure of material connections between endorsers and the companies whose products or services they promote. Members who promote Entrepreneur's Network, its features, or their own success on the Platform in public communications must comply with FTC guidelines including:
• Disclosing any material connection to the Platform including membership, chapter leadership, vendor status, or sponsorship when making public statements about the Platform
• Not making earnings claims, income representations, or testimonials about financial results without disclosing that results are not typical and vary significantly
• Not using AI-generated testimonials or reviews that misrepresent actual member experiences
• Chapter leaders must disclose their leadership role and financial interest in the Platform when recruiting new members in public settings
Members, chapter leaders, and sponsors may not make specific earnings claims or income representations when promoting the Platform or recruiting members unless those claims are accurate, substantiated, and accompanied by the following disclosure: 'Results are not typical. Individual earnings vary based on effort, experience, market conditions, and other factors. Most members earn little to no referral income.'
Any testimonial or case study that references specific dollar amounts, referral fees, or business results must reflect the actual experience of the member providing the testimonial and must not be cherry-picked to misrepresent typical outcomes.
All email communications sent through Platform tools — including AI-generated outreach emails sent by chapter leaders — must comply with the federal CAN-SPAM Act and any other applicable anti-spam laws. Chapter leaders and members who use Platform communication tools agree to:
• Include accurate sender identification in all outreach emails
• Not use deceptive subject lines
• Honor opt-out and unsubscribe requests within 10 business days
• Not send unsolicited bulk commercial email using Platform-generated content or member contact information
If you use contact information obtained through the Platform to make telephone calls or send text messages for marketing purposes, you are solely responsible for compliance with the Telephone Consumer Protection Act (TCPA) and applicable state telemarketing laws, including obtaining required prior express written consent before making autodialed calls or sending marketing text messages.
All members are required to treat each other with professional respect. Harassment, intimidation, or discrimination of any kind — including on the basis of race, color, national origin, religion, sex, gender identity, sexual orientation, age, disability, or veteran status — is prohibited on the Platform and in all Platform-related communications and events. Members who experience harassment should report it to compliance@entrepreneursnetwork.com. We will investigate all reports and take appropriate action up to and including permanent account termination.
Members may not make false statements of fact about other members, their businesses, employees, or clients on the Platform or in connection with Platform activities. This includes false reviews, fabricated referral notes, misleading profile information about competitors, and false statements made in forum sessions. Members who believe they have been defamed on the Platform may report the content to compliance@entrepreneursnetwork.com for review and potential removal.
Chapter Presidents and Directors are independent contractors of the Platform. They are not employees or agents of Vortex AI, Inc. for any purpose. Chapter leaders operate under the authority of Entrepreneur's Network, a division of Vortex AI, Inc., and are solely responsible for:
• Compliance with all applicable laws in their region
• Accurate representation of the Platform to prospective members

• Comply with all applicable advertising, marketing, and professional licensing laws
• Maintain the 3-month minimum sponsorship commitment
Sponsorships are subject to EN approval and may be revoked at any time for violations of this Policy or the Chapter Sponsorship Agreement.
Members represent that all information submitted to the Platform is accurate, truthful, and not misleading. The following constitute grounds for immediate account termination without refund:
• Representing a non-existent or fraudulent business as a real operating company
• Using a Platform account to conduct investment solicitation or securities sales without regulatory registration
• Submitting fictitious referral contacts or falsifying referral status to generate fraudulent ACH payments
• Creating fake member profiles to inflate platform metrics
• Using the Platform to facilitate financial fraud, identity theft, or wire fraud
Members in positions of trust — chapter presidents, directors, and administrators — must disclose material conflicts of interest, including: directing members to their own services as though they are Platform recommendations; accepting undisclosed payments from vendors outside the approved sponsorship structure; or making administrative decisions about entities in which they have a personal financial interest.
In addition to the prohibited conduct listed in the Terms of Service, the following activities are specifically prohibited for compliance reasons:
• Using the Platform to facilitate transactions that violate the Bank Secrecy Act, USA PATRIOT Act, or OFAC sanctions regulations
• Using the referral fee system to circumvent professional fee-sharing prohibitions
• Providing false information to our payment processor's identity verification process
• Using the Platform in connection with any business activity that is unlicensed when a license is required
• Sharing member data outside the Platform for purposes not contemplated by these policies
• Engaging in the unlicensed practice of law, medicine, financial advice, or any other licensed profession through Platform interactions
